Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the LSI intelligence platform ("Platform"), including all associated software, interfaces, documentation, and services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not create an account or use the Services. Your continued use of the Platform constitutes ongoing acceptance of these Terms and any updates thereto.

2. Eligibility

You must be at least 18 years of age to use the Services. By creating an account, you represent that:

  • You are at least 18 years old or the age of majority in your jurisdiction.
  • You have the legal capacity to enter into a binding agreement.
  • You are not prohibited from using the Services under any applicable law or regulation.
  • All information you provide during registration is accurate, current, and complete.
  • If acting on behalf of an entity, you are authorized to bind that entity to these Terms.

3. Account Registration and Security

To access the Platform, you must create an account by providing accurate and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials (email and password).
  • All activity that occurs under your account, whether authorized or not.
  • Notifying us immediately if you suspect unauthorized access to your account.
  • Ensuring your account information remains accurate and up to date.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being misused, or violate these Terms.

Account changes, including email address changes and account deletions, must be submitted as a request through the Platform's support system and will be processed manually by our team after identity verification.

4. Description of Services

LSI intelligence provides an AI-powered automation platform that includes, but is not limited to:

  • X1 Operator - The AI operator for command and control. Operates desktops, browsers, native applications, and enterprise systems with full mouse, keyboard, window, and file control.
  • X1 Orchestrator - A coordination system that manages thousands of concurrent AI workers across systems (enterprise accounts only).
  • X1 Data Management - A persistent intelligence layer for evidence storage, artifact indexing, long-term memory, and retrieval-augmented execution.

The specific features, capabilities, and availability of each Service may change at our discretion. We will make reasonable efforts to notify you of material changes.

5. Subscriptions, Tokens, and Payments

5.1 Subscription Plans. Access to the Platform is provided through subscription plans. Each plan includes a monthly token allocation for the selected compute tier (Low Compute or High Compute). Specific pricing, token allocations, and plan details are displayed on the Platform at the time of purchase.

5.2 Token System. Platform usage is metered through a token system. Tokens are consumed based on actions performed. Token balances are non-transferable between accounts or subscriptions. Unused tokens do not roll over to subsequent billing periods unless explicitly stated.

5.3 Token Refills. Additional tokens may be purchased at any time through the Platform. All token purchases are final and non-refundable once tokens are added to your account.

5.4 Billing. Subscription fees are billed in advance on a monthly recurring basis. Payments may be processed by X1 or authorized payment providers. You authorize us to charge the payment method on file for all fees due. You are responsible for keeping your payment information current.

5.5 Taxes. All prices are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.

5.6 Refunds. Subscription fees and token purchases are generally non-refundable. Refund requests may be submitted through our support system and will be reviewed on a case-by-case basis at our sole discretion.

6. Software Access

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to install and use the LSI intelligence desktop software on up to the number of devices specified by your subscription plan.

  • Access credentials are personal to you and must not be shared, published, or distributed.
  • Each subscription has a maximum number of simultaneous device activations.
  • We may revoke access for violation of these Terms or non-payment.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the software is strictly prohibited.

7. Acceptable Use and Restrictions

You agree to use the Platform solely for lawful purposes and in compliance with our Acceptable Use Policy. Without limitation, you must not:

  • Use the Services for any illegal, harmful, or fraudulent activity.
  • Attempt to access another user's account, data, or systems.
  • Interfere with, disrupt, or degrade the performance of the Services.
  • Circumvent, disable, or tamper with any security or access control features.
  • Use the Services to develop a competing product or service.
  • Use automated means, scraping, scripted access, or other non-human access methods except where expressly authorized by X1 in writing.
  • Upload, transmit, or distribute malicious code, viruses, or harmful data.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • Use the Services in any way that violates any applicable law, regulation, or industry standard.

Violation of these restrictions may result in immediate suspension or termination of your account without refund.

8. Intellectual Property

8.1 Our Property. The Platform, Services, software, documentation, trademarks, logos, and all associated intellectual property are and remain the exclusive property of LSI intelligence. These Terms do not grant you any rights to our intellectual property except the limited access rights expressly stated herein.

8.2 Your Data. You retain ownership of all data, content, and materials you input into the Platform ("User Data"). By using the Services, you grant us a limited, non-exclusive right to process and store your User Data solely as necessary to provide the Services.

8.3 Feedback. Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by us without restriction or obligation to you.

9. Data Processing and Privacy

We process your personal data and account information in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. By using the Services, you acknowledge that you have read, understood, and agree to our Privacy Policy, Cookie Policy, and applicable data processing terms.

We implement industry-standard security measures to protect your data. However, no method of electronic transmission or storage is 100% secure. You acknowledge this inherent risk and agree that we are not liable for unauthorized access resulting from circumstances beyond our reasonable control.

10. Service Availability and SLA

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Services are provided "as available." We may perform scheduled maintenance, during which the Platform may be temporarily unavailable. We will make reasonable efforts to provide advance notice of scheduled downtime.

We are not liable for any service interruptions, delays, or data loss caused by circumstances beyond our reasonable control, including but not limited to internet outages, third-party service failures, natural disasters, or acts of government.

11. Termination

11.1 By You. You may request cancellation of your subscription at any time through the Platform. Your access will continue until the end of the current billing period. Account deletion requests must be submitted through the support system.

11.2 By Us. We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or the Acceptable Use Policy.
  • Your account has been inactive for an extended period.
  • We are required to do so by law.
  • We discontinue the Services (with reasonable notice).

11.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes. You may request data export prior to account deletion through our support system.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO GUARANTEES REGARDING THE RESULTS, OUTPUT, OR ACCURACY OF ANY AI-GENERATED ACTIONS OR DECISIONS MADE BY THE PLATFORM.

YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE UNEXPECTED RESULTS AND THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ALL ACTIONS PERFORMED BY THE PLATFORM ON YOUR BEHALF.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LSI INTELLIGENCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Any damages arising from your use of or inability to use the Services.
  • Any damages arising from unauthorized access to or alteration of your data.
  • Any damages resulting from AI-generated actions, decisions, or outputs.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless LSI intelligence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Any User Data you submit through the Platform.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs, and the prevailing party shall be entitled to reasonable attorney's fees.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

16. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a notice on the Platform at least 30 days before they take effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree with the modified Terms, you must discontinue use of the Services before the changes take effect.

17. General Provisions

17.1 Entire Agreement. These Terms, together with the Privacy Policy, Data Processing Agreement, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and LSI intelligence regarding the Services.

17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

17.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
